Terms of Service

1. Acceptance of Terms

By using CallPro's service — whether by calling our dispatch line, sending or receiving SMS messages, or visiting our website — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

By using the service, you also consent to transact electronically and acknowledge that electronic records satisfy any requirement for written records under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.).

2. Description of Service

CallPro is a 24/7 emergency dispatch service. When a property manager or tenant calls our line, CallPro collects the job details and dispatches the request to contractors in our network via SMS. CallPro is a dispatch intermediary — not a contractor, not an employer, and not an AI receptionist product.

We currently operate in the Buffalo, NY metropolitan area.

3. Emergency Services Disclaimer

CALLPRO IS NOT AN EMERGENCY SERVICE. If you are experiencing a life-threatening emergency including but not limited to a gas leak, fire, medical emergency, or structural collapse, HANG UP AND DIAL 911 IMMEDIATELY.

CallPro dispatches independent contractors for property maintenance and repair emergencies. We do not dispatch fire, police, or medical services. CallPro assumes no liability for any injury, death, or property damage arising from a caller's failure to contact emergency services.

4. AI Disclosure (CA AB 2905)

Your call is answered by an AI-powered voice assistant. The AI system can make mistakes. It is designed to collect your information and dispatch a contractor — not to provide medical, legal, or technical advice.

You acknowledge that:

  • AI responses may contain errors, omissions, or misclassifications
  • The AI may mishear information, misclassify urgency, or misroute calls
  • Call audio and transcripts are processed by OpenAI's API
  • CallPro is not liable for damages arising from AI errors

5. Dispatch Network & Fees

Contractors in the CallPro dispatch network are independent businesses. CallPro facilitates the connection between property managers and available contractors. A dispatch fee applies to contractors for each accepted job. Dispatch fees are dynamic and communicated at the time of each dispatch. Fees are earned by CallPro upon contractor acceptance of a dispatch, not upon job completion.

Property managers: The first five dispatches routed through your account are free. Subsequent dispatches are subject to the fee schedule in effect at the time of dispatch.

Accepting a dispatch via SMS constitutes agreement to the dispatch fee and these Terms. No separate signature is required. The lead notification SMS is the agreement.

6. Independent Contractor Relationship

Contractors dispatched through CallPro are independent businesses, NOT employees, agents, partners, or representatives of CallPro. CallPro does not control, supervise, or direct the work performed by contractors. All financial transactions for home services occur directly between you and the contractor.

7. No Guarantee of Response Time

CallPro dispatches your request to available contractors. We do NOT guarantee that a contractor will respond within any specific timeframe, or at all. Response times depend on contractor availability, location, weather conditions, time of day, and other factors beyond our control.

8. No Guarantee of Contractor Availability

Service depends on contractor network availability in your area. CallPro does not guarantee that a contractor will be available for every request. If no contractor is available, we will inform you and you may need to seek service through other channels.

9. Contractor Insurance Disclaimer

CallPro does not verify, warrant, or guarantee that contractors dispatched through our service carry adequate insurance, are properly licensed, or are bonded. You are responsible for verifying contractor credentials before allowing work to proceed on your property.

10. Call Recording

All calls to CallPro are recorded for dispatch quality assurance and service improvement. By using the service, you consent to the recording of your call. Recording is disclosed in the voice greeting at the beginning of every call.

11. TCPA Compliance

Callers / Property Managers: By calling CallPro or providing your phone number, you consent to receive SMS messages related to your dispatch request, including status updates, contractor assignment notifications, and follow-up communications. Consent is limited to communications related to the service you requested.

Contractors: By registering your phone number with CallPro (via the /contractors/join form or equivalent), you consent to receive automated SMS dispatch notifications at that number. Replying YES to a dispatch constitutes acceptance of that job and agreement to the dispatch fee. Replying STOP removes you from the dispatch network.

12. SMS Communications

By requesting service through CallPro, you consent to receive SMS messages related to your dispatch, including:

  • Dispatch confirmations and contractor assignment notifications
  • Service status updates
  • Follow-up messages regarding your service request

Message Frequency: Varies based on your service request.

Opt-Out: Reply STOP to any message to opt out. You will receive one final confirmation message.

Help: Reply HELP for assistance or contact [email protected].

Rates: Message and data rates may apply. Check with your wireless carrier.

Carriers are not liable for delayed or undelivered messages.

13. Limitation of Liability

IN NO EVENT SHALL CALLPRO'S TOTAL LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO CALLPRO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

CALLPRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PROPERTY DAMAGE, PERSONAL INJURY, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, ANY CONTRACTOR'S WORK, AI ERRORS OR MISCLASSIFICATIONS, FAILED OR DELAYED DISPATCH, OR FAILURE TO IDENTIFY OR PROPERLY ROUTE A LIFE-THREATENING SITUATION.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CALLPRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTRACTOR DISPATCHED WILL PERFORM WORK TO ANY PARTICULAR STANDARD.

15. Indemnification

You agree to indemnify, defend, and hold harmless CallPro, its operator, and its agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the service; (b) any work performed by a contractor dispatched through the service; or (c) your violation of these Terms.

16. Force Majeure

CallPro shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to: severe weather, natural disasters, utility outages, contractor unavailability, government action, pandemic, or telecommunications failure.

17. Arbitration

Any dispute arising out of or relating to these Terms or the service shall be resolved by mandatory binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Erie County, New York.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18. Class Action Waiver

YOU AGREE TO RESOLVE ALL DISPUTES WITH CALLPRO ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. THIS WAIVER APPLIES TO ALL CLAIMS, WHETHER IN ARBITRATION, IN COURT, OR OTHERWISE.

19. Intellectual Property

CallPro owns all rights to dispatch data, call transcripts, routing algorithms, AI models, and service intelligence generated through the platform. You retain no ownership interest in any data generated by CallPro's systems in the course of providing the service.

20. Acceptable Use

You agree not to:

  • Submit fraudulent service requests or false emergency reports
  • Harass, threaten, or abuse CallPro staff, AI systems, or dispatched contractors
  • Interfere with or disrupt the service, including automated calling or flooding
  • Use the service for any unlawful purpose
  • Resell or redistribute the service without authorization

21. Termination

CallPro may terminate or refuse your access to the service at any time, for any reason, without prior notice. Reasons for termination include but are not limited to: fraudulent requests, abusive behavior, or violation of these Terms.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

23. Assignment

CallPro may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations without CallPro's prior written consent.

24. Entire Agreement

These Terms constitute the entire agreement between you and CallPro regarding your use of the service and supersede all prior agreements, understandings, and communications, whether written or oral.

25. Modification

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by posting the revised terms on our website with an updated effective date. Continued use of the service after the effective date constitutes acceptance of the modified Terms.

26. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

27. NY SHIELD Act

We maintain reasonable safeguards to protect the security, confidentiality, and integrity of private information as required by the New York SHIELD Act. In the event of a data breach, we will notify affected individuals and the New York Attorney General as required by NY General Business Law § 899-aa.
